Welcome to Soluna. These Terms of Service ("Terms") govern your access to and use of the website located at https://soluna.garden (the "Website") and your purchase of products offered through it. The Website and the Soluna brand are operated by MATO, a sole proprietorship (Israeli osek murshe) based in Rehovot, Israel ("Soluna", "we", "us", or "our"). Please read these Terms carefully. By accessing the Website or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Website or place an order.

Nothing in these Terms removes, limits, or affects the mandatory consumer-protection or data-protection rights granted to you by the laws of your country of habitual residence (including, where applicable, the European Union/EEA, the United Kingdom, and Israel). Where those mandatory rights conflict with these Terms, those mandatory rights prevail.


1. Who We Are

Where required by Article 27 of the EU GDPR and/or the UK GDPR, we will designate a representative in the EU/EEA and in the UK; once appointed, their contact details will be published in our Privacy Policy.


2. Acceptance of These Terms

By accessing, browsing, or using the Website, or by placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. These Terms constitute a binding agreement between you and Soluna.

If you are placing an order, you confirm before completing checkout that you are committing to a purchase with an obligation to pay, as clearly indicated by the order button at checkout (which is labelled "Order with obligation to pay" or words to equivalent effect).


3. Eligibility

To purchase from the Website, you must:

  • Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater; and
  • Have the legal capacity to enter into a binding contract; and
  • Provide accurate, current, and complete information when placing an order.

If you are using the Website on behalf of another person or entity, you represent that you are authorised to accept these Terms on their behalf. We do not knowingly sell to minors. If we reasonably believe you do not meet the eligibility requirements, we may refuse or cancel your order.


4. The Product

Soluna currently offers a single physical consumer product:

  • Solar Mandala Projection Light — a solar-powered garden lantern that projects warm-gold mandala patterns. It is 100% solar powered, IP65 weatherproof, and requires no wiring.

We make every effort to display the product, its colours, features, and characteristics as accurately as possible. However:

  • Projected patterns, brightness, light colour, and run-time depend on real-world conditions such as the amount of direct sunlight received, the season, weather, placement, and battery charge level.
  • Colours and appearance shown on your screen may differ slightly from the actual product due to display settings and photography.
  • "IP65 weatherproof" describes protection against dust and low-pressure water jets; it does not mean the product is suitable for full submersion.

Product descriptions, specifications, and availability may be updated or corrected at any time without prior notice. This does not affect orders already accepted, nor your mandatory rights regarding goods that are not as described.


5. Pricing, Currencies, and Taxes

  • Prices are displayed on the Website and may be shown in ILS, USD, EUR, GBP, or AED depending on your selected currency (remembered via the cur preference cookie). The currency and total price applicable to your order are shown at checkout before you confirm payment.
  • The total price payable, including any applicable taxes and the cost of delivery (delivery is free — see Section 7), is displayed clearly before you complete your order. We do not add surprise or undisclosed fees at a later stage of checkout.
  • We make reasonable efforts to ensure prices are accurate. In the event of an obvious and material pricing error, we reserve the right to cancel the affected order and refund any amount paid, in accordance with Section 6 and your mandatory consumer rights. We will not cancel an order on this basis after dispatch where your mandatory local law does not allow it.

5.1 Promotions, Discounts, and Compare-At Pricing

We are committed to truthful, non-deceptive advertising:

  • Any "compare-at", "was/now", "regular price", or strike-through reference price reflects a genuine prior or prevailing price at which the product was offered.
  • Any discount, sale, or promotional price reflects a real offer and a genuine saving for the period stated.
  • Any countdown timer, limited-time offer, or stock/scarcity indicator reflects a real and accurate offer or availability and is not used as a deceptive urgency device.
  • Promotions may be subject to specific conditions or time limits, which we will state where applicable, and may be withdrawn or amended prospectively.

5.2 Product Reviews

Where customer reviews or testimonials are displayed, they are genuine and reflect actual customer feedback. We do not create, buy, sell, or publish fake, fabricated, AI-generated, or incentivised reviews presented as independent; we do not condition any incentive on the sentiment of a review; and we do not suppress or selectively hide honest reviews to create a misleadingly positive impression. Any material connection between a reviewer and Soluna is disclosed.


6. Orders and Order Acceptance

  • Your order constitutes an offer to purchase the product under these Terms. After you place an order, we will send you an order-confirmation email (a transactional email sent on our behalf by our email provider, Resend) acknowledging that we have received your order.
  • An order-confirmation email is an acknowledgement of receipt, not acceptance of your order. A binding contract of sale is formed only when we accept your order, which we do when we dispatch the product (or notify you of dispatch), unless your mandatory local law provides otherwise.
  • We reserve the right to refuse, decline, or cancel any order, in whole or in part, at our reasonable discretion, including (without limitation) where: the product is unavailable or out of stock; there was a material error in the price, description, or availability; we suspect fraud, abuse, or unauthorised payment; we are unable to verify your details; delivery is not possible to your location; or supply would breach applicable law or trade sanctions.
  • If we cancel an order for which you have already paid, we will refund the amount paid for the cancelled items using the original payment method, without undue delay. This does not affect any additional mandatory remedies available to you under your local law.

7. Shipping and Delivery

  • We offer free worldwide shipping on all orders. There is no separate standard delivery charge.
  • Orders are fulfilled through our dropshipping partner, CJ Dropshipping. Products typically ship from overseas warehouses, often located in China, via third-party carriers.
  • Estimated timeframes: order processing typically takes 1–2 business days, and estimated delivery is a further 7–14 business days after processing. These timeframes are estimates only and are not guaranteed. Actual delivery times may vary due to customs, carrier delays, remote destinations, weather, peak periods, and other factors beyond our control.
  • Maximum delivery period (consumers). Notwithstanding the estimates above, where you are a consumer we will deliver the goods without undue delay and in any event within 30 days of the day the contract is concluded, unless we agree otherwise with you. If we fail to deliver within that period (or any additional period you grant us where required by law), you may be entitled to cancel the order and obtain a full refund, in addition to any other remedy available under your mandatory local law.
  • Import duties and taxes: depending on your destination country, your order may be subject to import duties, customs charges, or local taxes on arrival. Unless required otherwise by mandatory law, any such charges are the responsibility of the recipient and are not included in the product price. Please check your local import rules before ordering.
  • You are responsible for providing a complete and accurate shipping address. We are not responsible for delays or failed deliveries resulting from incorrect or incomplete address details that you provide.
  • To fulfil and ship your order, we share your name, shipping address, phone number, and email with CJ Dropshipping, which forwards this information to its suppliers, warehouses, and carriers — including in China — to pack and deliver your products. This involves an international transfer of your personal data; see Section 11 and our Privacy Policy.

8. Title and Risk

  • Risk of loss or damage to the product passes to you when you (or a person you nominate, other than the carrier) take physical possession of the goods, except where you have arranged your own carrier not offered by us, in which case risk passes on handover to that carrier. Where your mandatory local consumer law provides otherwise, that rule prevails.
  • Title (ownership) to the product passes to you once we have received full payment.

9. Returns, Cancellation, and Refunds

We want you to be happy with your purchase. The rights below are cumulative; where more than one applies, you may rely on whichever gives you the greatest protection.

9.1 30-Day Money-Back Guarantee (all customers)

We offer a 30-day money-back guarantee measured from the date of delivery. If you are not satisfied, contact us at hello@soluna.garden within 30 days of delivery to arrange a return and refund in accordance with our returns process. This commercial guarantee is offered in addition to, and does not limit, any statutory right described below.

9.2 EU/EEA and UK Statutory Right of Withdrawal (Cooling-Off)

If you are a consumer in the EU/EEA or the United Kingdom, you also have a statutory right of withdrawal of 14 days, which exists independently of the 30-day guarantee above:

  • You may withdraw from the contract within 14 days, without giving any reason.
  • The withdrawal period runs for 14 days from the day on which you (or a third party indicated by you, other than the carrier) acquire physical possession of the goods.
  • To exercise the right, you must inform us of your decision by a clear statement (for example, an email to hello@soluna.garden, or by using the online withdrawal function on the Website where available). You may use the model withdrawal form below, but it is not obligatory; any other unambiguous statement is sufficient.
  • If we have failed to inform you of the right of withdrawal, the withdrawal period is extended by up to 12 months as required by law.

Effect of withdrawal: we will reimburse all payments received from you, including the cost of delivery (except any extra cost arising from your choosing a delivery type more expensive than the standard delivery we offer — as our standard delivery is free, no delivery cost arises), without undue delay and in any event no later than 14 days from the day we are informed of your decision to withdraw. We will use the same means of payment you used for the initial transaction, and you will not incur any fee for the reimbursement. We may withhold the reimbursement until we have received the goods back, or until you have supplied evidence of having sent them back, whichever is the earliest. Unless we have agreed to bear them, you bear the direct cost of returning the goods.

9.3 Israeli Consumers

If you are a consumer in Israel, you have the cancellation rights granted by the Israeli Consumer Protection Law, 5741-1981, including the right to cancel a distance-sale transaction from the date of the transaction up to 14 days from receipt of the goods or from receipt of the written disclosure document, whichever is later. Certain protected consumers (persons with a disability, senior citizens aged 65+, and new immigrants/olim) may cancel within an extended period of up to four months where the transaction involved a conversation (including by electronic means), as provided by law. Where you cancel on a change-of-mind basis, we may charge a cancellation fee of the lower of 5% of the transaction value or NIS 100, and we will refund you within 14 days of the cancellation notice. No cancellation fee applies where cancellation arises from a defect, non-conformity, late delivery, or other breach by us, in which case we will arrange collection of the goods at our cost and refund you in full.

9.4 General

  • Refunds are issued to the original payment method, without fees to you.
  • These return and cancellation provisions do not limit your statutory rights, including the legal guarantee that goods are as described, of satisfactory quality, and fit for purpose, or any remedies for faulty or non-conforming goods.
  • Withdrawal/cancellation exceptions. Statutory withdrawal and cancellation rights do not apply to certain categories of goods (for example, sealed goods unsuitable for return for health or hygiene reasons once unsealed, made-to-order or personalised goods, and perishable goods). Our single product, the Solar Mandala Projection Light, is a standard, non-personalised, non-perishable item, and we do not treat it as falling within any such exception; merely opening the packaging to inspect the product does not deprive you of your withdrawal or cancellation right. You may be liable only for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics, and functioning.

10. Payment

  • We accept payment via PayPal (our primary method) and, where enabled, credit/debit card via Stripe.
  • Payments are processed by these PCI-DSS-compliant third-party payment providers. When you pay, your payment details are collected and processed directly by PayPal or Stripe under their own terms and privacy policies. Soluna never stores your full card number. PayPal acts as an independent data controller for payment data; Stripe acts as our payment processor and as an independent controller for fraud-prevention and legal-compliance purposes.
  • By submitting payment, you represent that you are authorised to use the chosen payment method and that the information you provide is accurate.
  • Your order will not be dispatched until payment is successfully received and authorised. If a payment is declined, reversed, or charged back without legitimate justification, we may suspend or cancel the related order. Nothing in this Section limits your right to a chargeback or refund where you are legally entitled to one.

11. Privacy, Cookies, Tracking, and International Data Transfers

Your privacy is governed by our Privacy Policy and Cookie Policy, which form part of these Terms and which you should read in full. The summary below is provided for transparency and does not replace those documents.

Data we collect. Name, email, shipping address, phone number, order and transaction details, IP address, device/browser (user-agent) information, and browsing/behavioural data.

Analytics, advertising, and tracking technologies we use. We use the following, and (where required by law, including in the EU/EEA and the UK) only after you give prior consent through our cookie banner:

  • Meta Pixel and Meta Conversions API (CAPI). We share event and conversion data with Meta Platforms (Meta Platforms Ireland Ltd. for EEA users; Meta Platforms, Inc. for others) for advertising measurement and targeting. This includes server-side sharing of hashed (SHA-256) customer identifiers — such as your email, phone number, name, and address — together with your IP address, user-agent, and the _fbp/_fbc cookie identifiers. Hashed identifiers remain personal data. Where consent is the legal basis, our server suppresses these identifiers if you have not consented, and you may withdraw consent at any time.
  • Microsoft Clarity. Microsoft records session replays and heatmaps of on-page behaviour (mouse movement, clicks, scrolls). Form-input contents are masked. Microsoft acts as a data controller and stores this data on Microsoft Azure (United States).
  • Vercel Web Analytics. A cookieless analytics tool collecting only aggregated, anonymous metrics; it does not store a persistent personal identifier.
  • First-party analytics stored in Google Firebase / Cloud Firestore.

Email. We use Resend to send transactional emails (such as order confirmations) and, where you have consented or are otherwise lawfully permitted, marketing emails including abandoned-cart reminders and our newsletter. Every marketing email contains our physical postal address and a working one-click unsubscribe link; we honour unsubscribe requests promptly (and within any legally required period). You can opt out of marketing at any time without affecting transactional messages relating to your orders.

Sub-processors and recipients. We rely on: Google (Firebase/Firestore and Google Cloud), Vercel (hosting and analytics), Meta Platforms (advertising), Microsoft (Clarity), PayPal and Stripe (payments), CJ Dropshipping (fulfilment), Resend (email), and Upstash / Vercel KV (data store/cache).

International transfers. Your personal data is transferred outside the EEA/UK, including to the United States (e.g., Meta, Microsoft, Google, Vercel) and to China (via CJ Dropshipping and its suppliers/carriers). Where required, we rely on appropriate safeguards such as the EU–US / UK Data Privacy Framework (for certified recipients), Standard Contractual Clauses, and, for transfers to countries without an adequacy decision (such as China), supplementary measures and a transfer-risk assessment. You may request information about the safeguards in place by contacting hello@soluna.garden.

Cookies and local identifiers. We use, among others: _fbp and _fbc (Meta — marketing); Microsoft Clarity cookies such as _clck, _clsk, and MUID/CLID (analytics/marketing); sln_aid (first-party visitor ID, 1 year); sln_sid (session, 30 minutes); NEXT_LOCALE (language preference); cur (currency preference); and soluna_session (admin login only, HttpOnly). Non-essential cookies and trackers (Meta and Microsoft Clarity) are set only after consent where the law requires it, and you can change or withdraw your choices at any time via the "Cookie settings" link on the Website. Full details, purposes, providers, and durations are set out in the Cookie Policy.

Your rights. Depending on your jurisdiction, you may have rights of access, rectification, erasure, restriction, portability, objection, withdrawal of consent, and the right to lodge a complaint with your data-protection supervisory authority. California residents may exercise rights to know, delete, correct, and opt out of the "sale"/"sharing" of personal information; we honour the Global Privacy Control signal and provide a "Do Not Sell or Share My Personal Information" mechanism. See the Privacy Policy for how to exercise these rights.


12. Intellectual Property

  • All content on the Website — including the Soluna name and branding, logos, text, graphics, images, product photography, illustrations, user-interface design, and the selection and arrangement thereof — is owned by or licensed to MATO/Soluna and is protected by intellectual-property laws.
  • You are granted a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Website for the purpose of browsing and making legitimate purchases.
  • You may not copy, reproduce, republish, distribute, modify, scrape, data-mine, frame, sell, or exploit any part of the Website or its content without our prior written consent, except as expressly permitted by law.
  • All trademarks, trade names, and logos displayed on the Website that are not ours remain the property of their respective owners.

13. Acceptable Use / User Conduct

When using the Website, you agree that you will not:

  • Use the Website for any unlawful, fraudulent, or harmful purpose, or in breach of these Terms;
  • Place fraudulent, speculative, or false orders, or use stolen or unauthorised payment methods;
  • Attempt to gain unauthorised access to the Website, any account, server, or system, or interfere with the proper functioning, security, or integrity of the Website;
  • Introduce viruses, malware, or other harmful code;
  • Use any automated means (bots, scrapers, crawlers) to access, copy, or harvest content or data, except as expressly permitted;
  • Infringe the intellectual-property or other rights of Soluna or any third party;
  • Post or transmit content that is unlawful, defamatory, abusive, or otherwise objectionable; or
  • Misuse promotions or discount codes, or abuse the returns/withdrawal process through conduct that is fraudulent (this does not affect the good-faith exercise of your statutory withdrawal or cancellation rights).

We may suspend or terminate your access and cancel orders if you breach this Section, without prejudice to our other rights and without affecting your mandatory consumer rights.


14. Third-Party Links and Services

The Website may contain links to, or rely on, third-party websites, content, or services (including payment providers, fulfilment partners, and analytics or advertising providers). These are provided for convenience only. We do not control and are not responsible for the content, products, policies, or practices of any third party. Your dealings with, and use of, any third-party site or service are at your own risk and subject to that third party's own terms and privacy policy. The inclusion of any link does not imply our endorsement.


15. Disclaimer of Warranties

To the maximum extent permitted by applicable law, and without excluding or limiting any mandatory consumer guarantee or non-excludable statutory right you may have:

  • The Website and its content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
  • We disclaim all implied warranties and conditions, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, in relation to the Website and its availability.
  • We do not warrant that the Website will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
  • We do not guarantee specific delivery dates; all delivery timeframes are estimates only (see Section 7).

Nothing in this Section excludes or limits: (a) the mandatory legal guarantee of conformity / your rights regarding faulty or non-conforming goods under your local law (including under EU/EEA and UK consumer law and the Israeli Consumer Protection Law); (b) liability for death or personal injury caused by negligence; (c) liability for fraud or fraudulent misrepresentation; or (d) any other liability that cannot lawfully be excluded or limited. If you are a consumer, you have legal rights in relation to goods that are faulty or not as described, and these Terms do not affect those rights.


16. Limitation of Liability

To the maximum extent permitted by applicable law, and subject to the mandatory rights and exclusions described in Section 15:

  • Soluna (MATO), and its owner, contractors, and suppliers, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Website or any product, even if advised of the possibility of such damages.
  • Our total aggregate liability to you arising out of or in connection with any order, product, or your use of the Website shall in no event exceed the greater of (a) the total amount actually paid by you for the product(s) giving rise to the claim, or (b) any higher amount required by your mandatory local law.

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including mandatory consumer-protection rights, the legal guarantee of conformity, liability for death or personal injury caused by negligence, or liability for fraud. Where your local law does not permit certain limitations or exclusions of liability, those limitations or exclusions apply to you only to the extent permitted by that law.


17. Indemnification

To the extent permitted by applicable law, and only where you are not acting as a consumer, you agree to indemnify, defend, and hold harmless MATO (Soluna) and its owner, contractors, and partners from and against any third-party claims, liabilities, damages, losses, and reasonable expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Website; (c) your violation of any applicable law or the rights of any third party; or (d) fraudulent or unlawful activity by you. This Section does not apply to the extent a claim arises from our own breach, negligence, or wrongful conduct, and nothing in this Section limits or affects your mandatory consumer rights.


18. Governing Law and Mandatory Consumer Rights

These Terms, and any dispute arising out of or relating to them, the Website, or any product, shall be governed by the laws of the State of Israel, and the competent courts of Tel Aviv–Jaffa, Israel shall have jurisdiction.

Consumer mandatory-rights carve-out. Nothing in this Section removes, limits, or affects any right or remedy you have as a consumer under the mandatory laws of your country of habitual residence that cannot be derogated from by agreement:

  • If you are a consumer in Israel, the protections of the Israeli Consumer Protection Law, 5741-1981 (including remote-sale cancellation rights) and the Protection of Privacy Law apply and prevail over any conflicting provision in these Terms.
  • If you are a consumer in the EU/EEA or the United Kingdom, you continue to benefit from the mandatory consumer-protection and data-protection rights of your country of residence (including the statutory right of withdrawal and the legal guarantee of conformity), those rules prevail over any conflicting provision in these Terms, and you may bring proceedings in the courts of your place of residence where mandatory law so provides.
  • If you are a consumer elsewhere (including the US and UAE), nothing in these Terms deprives you of any mandatory protection available to you under the law of your place of residence.
  • Where the law of your jurisdiction grants you greater protection or a more favourable forum that cannot be waived, that law and forum prevail to the extent they are mandatory.

For business (B2B) and other non-consumer users, the choice of Israeli law and the exclusive jurisdiction of the Tel Aviv–Jaffa courts apply in full.


19. Dispute Resolution

  • Contact us first. If you have a concern or complaint, please contact us at hello@soluna.garden so we can try to resolve it informally and promptly. Most issues can be resolved this way.
  • If we cannot resolve a dispute informally, it will be handled in accordance with the governing law and forum set out in Section 18, subject to your mandatory consumer rights.
  • EU/EEA consumers: you may also be able to use alternative dispute resolution (ADR) mechanisms available in your country. (Note: the European Commission's Online Dispute Resolution platform ceased operation on 20 July 2025; we therefore do not link to it.)
  • Nothing in this Section prevents you from exercising any statutory right or from bringing a claim before a court or competent authority where mandatory law gives you that right, nor requires you to waive access to the courts where such waiver is not permitted.

20. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a competent court or authority, that provision shall be modified to the minimum extent necessary to make it valid and enforceable or, if that is not possible, severed, and the remaining provisions shall continue in full force and effect. The invalidity of any provision in any jurisdiction shall not affect its validity in any other jurisdiction or the validity of the remaining provisions.


21. Changes to These Terms

We may update or amend these Terms from time to time, for example to reflect changes in our products, business practices, or legal requirements. The version in force is the one published on the Website, identified by the "Last updated" date at the top. Changes apply prospectively from the date of publication and do not affect orders already accepted under the previous version. Your continued use of the Website or placing of a new order after changes take effect constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.


22. Miscellaneous

  • Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Soluna regarding your use of the Website and supersede any prior understandings, subject to your mandatory legal rights.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our consent. We may assign these Terms in connection with a transfer of our business or assets, provided your rights are not adversely affected.
  • Headings. Section headings are for convenience only and do not affect interpretation.
